Glossary

Merchant of record

MoR

The merchant of record is the company that legally sells you a product, charges your card, collects and remits the sales tax or VAT of your country, and appears on your statement. For software it is often a payment company acting on the vendor's behalf rather than the vendor itself.

Why software vendors use one

Selling a subscription into a hundred countries means a hundred tax regimes, currencies and card rules. A merchant-of-record provider takes that on: it is the seller in each country, handles the tax, and pays the vendor. The vendor writes the software; the provider does the selling.

What it means for the buyer

The invoice names the provider as seller, with the vendor as the product's maker. Your company name and tax number go on it at checkout. Prices are shown in your currency where the provider charges it and as an estimate where it charges another. Refunds and cancellation follow the provider's terms, which the vendor's pages state.

Where a local provider is used instead

Some countries are outside a global provider's reach, or their currency is not charged by it. There, a vendor may sell through a local payment provider and its own local company, so the seller on the invoice differs by country.

How Brindola does it

Outside Georgia, Brindola is sold through Stripe as merchant of record (at checkout it appears as Link, a Stripe company), charged in euros, pounds or US dollars, with your currency shown as an estimate where it is not one of those. In Georgia the sale is local, in lari. The pricing page and the refund page for your country say which applies to you.
