Terms of service
These terms govern the licence to use Brindola POS and the account services that come with it. They are written to be read in one sitting by the person who signs them. By installing the software, opening an account or paying for a subscription you accept them on behalf of the business you act for.

1. Who these terms are between
Brindola is sold to businesses. You confirm that you act in the course of a trade, business or profession, and that you have the authority to bind the business named on the account. The seller is the entity named above for your region; nothing in these terms creates an obligation for any other company in the group. Where a payment provider acts as merchant of record, that provider's own terms govern the payment transaction and these terms govern the licence.
2. What you are buying
A non-exclusive, non-transferable licence to run Brindola on the number of devices your plan allows, at the venue the licence names, for as long as the subscription is paid. The software runs on your own hardware. You do not buy the software itself, any right to its source code, or any right to resell, sublicense, rent or lend it.
3. The subscription and the price
Plans are billed monthly or annually in advance in the currency shown on the pricing page, plus any tax the law requires. Usage-based add-ons are metered and billed as the pricing page describes. A licence is issued as a signed file with an expiry date and is renewed automatically while the subscription is active. We may change prices with at least thirty days' notice; a change applies from your next billing period, and you may cancel before it takes effect.
4. Trials and evaluation
A trial is provided free of charge, for evaluation only, and may be limited in time or features. We may end a trial at any time. Everything in section 9 and section 10 applies to a trial in full.
5. If the subscription ends
Your terminal continues to operate on the licence already issued until that licence expires. After it expires, features return to the unlicensed set and nothing you have recorded is altered, hidden or deleted by us. You remain responsible for keeping any records the law requires you to keep, whether or not you still hold a licence.
6. Your data and your backups
Everything the software records is yours and is stored on your own hardware. We do not hold a copy of it and cannot restore it. Making and testing backups of your data is your responsibility. What synchronises to a backoffice or an account service, and to which one, is your configuration and your decision, and the data that leaves your venue that way is described in the privacy notice.
7. Acceptable use
You may not reverse engineer, decompile or disassemble the software except where the law expressly allows it; remove or alter any notice, licence check or fiscal control; use the software to record transactions other than those that actually took place; or use it in a way that breaks the law or a third party's rights. We may suspend a licence that is used in breach of this section.
8. Support and updates
Updates are included with an active subscription and may add, change or remove features. Installing updates is your responsibility, and an obligation that depends on a current version of the software is met only on a current version. Support channels and any response commitments are those stated in your plan or, for Enterprise, in your written agreement. Beyond those, support is provided on a reasonable-efforts basis with no guaranteed response time.
9. Tax, fiscal and legal compliance is yours
Brindola is a tool. It records sales, prints documents and, where a country's edition says so, drives fiscal devices and speaks to tax authorities and their certified equipment. It is not itself a certified fiscal device, a certified cash register or certified fiscal software in any country unless we state that expressly, in writing, for that country and that version. You alone are responsible for determining whether, and on what equipment, the software may lawfully be used at your venue; for registering, certifying and operating any fiscal device, signing module or reporting connection the law requires; for the accuracy of tax rates, product classifications and every figure you enter; for issuing, keeping and filing the documents and reports your law requires; and for the advice of your own accountant or lawyer. We accept no responsibility for any fine, penalty, surcharge, back tax, interest, assessment, audit finding, loss of a licence to trade, or other consequence of a failure to comply with a tax, fiscal, accounting, consumer, labour or data law, and you agree not to bring a claim against us for one.
10. Provided as is
The software and the account services are provided as is and as available. To the fullest extent the law allows, we disclaim every warranty, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the software will be uninterrupted, error-free, secure, or will meet the requirements of any law, regulation, tax authority or certification scheme. No advice or information we give, in writing or otherwise, creates a warranty.
11. Third parties
Fiscal devices, payment terminals, banks, acquirers, delivery platforms, backoffice systems and the payment provider are supplied and operated by others, under their own terms and with their own certifications. We do not control them and do not warrant their availability, their behaviour, or that an integration with them will continue to work when they change. An order, a payment or a fiscal document that passes through such a service is that service's responsibility while it is in their hands.
12. Limitation of liability
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive loss, nor for lost profit, lost revenue, lost business, lost or corrupted data, or the cost of substitute goods or services, however caused and even if we were told it was possible. Our total liability under or in connection with these terms is limited to the fees you paid in the twelve months preceding the claim. These limits do not apply where the law does not permit them, including for death or personal injury caused by negligence, for fraud, or for liability that arises from intent or gross negligence.
13. Your indemnity
You will indemnify us and our affiliates against any claim, fine, loss or cost, including reasonable legal fees, that arises from your use of the software, from the data you record with it, from your breach of these terms, or from your failure to comply with a law that applies to your business.
14. Termination
You may cancel at any time; the subscription ends at the close of the period already paid, and the refund policy says what is returned. We may terminate for a breach that is not cured within fourteen days of notice, or immediately for a breach of section 7 or non-payment. Sections 5, 6, 9, 10, 12, 13, 16 and 17 survive termination.
15. Changes to these terms
We may change these terms. A material change is announced at least thirty days in advance on this page and, where we hold an address, by email; continuing to use the software or the account after that date is acceptance. If you do not accept a change, you may cancel before it takes effect.
16. Enterprise and written agreements
Where you hold a written agreement with us, that agreement prevails over these terms wherever the two differ. Where a translation of these terms differs from the English text, the English text governs, unless the law of the selling entity's jurisdiction requires otherwise.
17. Law, venue and the rest
The governing law and the competent courts are those of the jurisdiction of the selling entity named above, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. If a provision is unenforceable, the rest stands and the provision is read as narrowly as needed to be enforceable. These terms, the pricing page, the privacy notice and the refund policy are the whole agreement between us for the licence, and a failure to enforce a term is not a waiver of it.
18. Delivery of the product
Brindola is software and is delivered electronically; nothing is shipped. The installer is downloaded from this site free of charge. As soon as a payment through Flitt is confirmed, the licence is issued to your account, usually within a minute. Your terminal picks it up automatically the next time it is online, and the licence file can also be downloaded from your account page and installed by hand. If a licence has not arrived within 24 hours, write to us or call us at the details above.
19. Refunds
You may cancel at any time from your account page; the subscription ends at the close of the period already paid. A first subscription payment is refunded in full if you ask within fourteen days of the charge. An annual plan cancelled mid-term runs to the end of its paid period. Usage already incurred on the delivery intake add-on is not refunded. Ask by email, naming the venue; we answer within two business days and the refund goes back to the card you paid with. The full policy is on the refunds page (brindola.com/ge/en/legal/refunds/).
